Generally, a certificate is a document confirming the satisfaction of certain requirements or terms and conditions or testifying to certain facts. A certificate of death is a document issued by a government official such as a registrar of vital statistics that declares the date, location and cause of a person's death. A birth certificate is an official government document that contains information like the following: name at birth; date of birth; sex; place of birth; names of parents; weight; and length at birth.

The holding of a certificate grants the holder those rights granted by the issuer of the certificate. Certificates are used in a variety of contexts and have different meanings and legal significances attached to them. A certificate may be a document issued to a person completing a course of study not leading to a diploma, or authorize a person to officially practice in a certain profession. A certificate may prove ownership of property, such as a stock certificate or a certificate of title to a motor vehicle.

In legal proceedings, a certificate of service is usually required to be filed with the clerk of a court as proof that copies of pleadings such as complaints, motions, and discovery requests have been officially served on the other parties to a lawsuit. The certificate of service states the date that the papers were served, the name and address of parties served, and the signature of the serving party or their attorney.
